In what business segments is MVV Energie AG actively engaged?

We are an energy utility and value-added services provider, with core competencies in supplying electric power, gas, water service, thermal utilisation and value-added services. We have extensive technical know-how with regard to distribution technology and have been making effective use of our traditionally close ties to customers. We have branched out from our core business and are now a full-service provider of value-added services for energy and water distribution.

How did MVV Energie AG come into being?

Mannheimer Versorgungs- und Verkehrsgesellschaft mbH was re-organised in 1988 as MVV GmbH, which has two subsidiaries: MVV Energie AG and MVV Verkehr AG. MVV Energie AG went public in March 1999, thereby becoming partially privatised. Today, MVV Energie Group has about 5,900 employees and sales of Euro 3.6 billion, making it one of Germany's largest regional and municipal energy utilities.

Do losses from MVV Verkehr AG have a negative impact on earnings or business developments at MVV Energie AG?

MVV Energie AG is listed on the stock exchange and is not bound to MVV Verkehr AG or the City of Mannheim through profit and loss pooling agreements or control agreements. As a consequence, results from MVV Verkehr AG can have no influence on MVV Energie AG's earnings. Because the City of Mannheim is indirectly the principal shareholder of MVV Energie AG (50.1%), the city receives dividends just like any other shareholder, which it can use to offset losses from MVV Verkehr AG.

Are MVV Energie AG and MVV Verkehr AG linked through their operational businesses?

There is no operational link between MVV Energie AG and MVV Verkehr AG. In order to take advantage of synergies, MVV Verkehr AG has commissioned MVV Energie AG to administrate centralised divisions, such as the Legal Department, and this work is then apportioned in accordance with agency agreements.

How is MVV Energie AG structured?

Since going public in 1999, the original parent group (MVV Energie AG and MVV RHE GmbH) has produced a dynamic corporate group with numerous foreign and domestic participations.

What is MVV Energie AG doing for the environment?

As a provider of value-added energy, water and waste-management services, we have long been aware of our special responsibility for maintaining both human safety as well as the natural basis for life on earth - and have been acting accordingly.
We have reduced the adverse environmental impact attributable to energy distribution and to providing value-added services to a minimum.
Moreover, renewable energy has become a cornerstone of our growth strategy. Our participation, the Mannheim Central Powerplant (GKM), utilises environment-friendly cogeneration (CHP) to produce electric power and district heating simultaneously.
Through our success in the biomass, biogas and wind energy sectors, we are doing our part to achieve national and European objectives of rosing the proportion of energy generated from renewable energy sources to 18% by 2020.

What strategies has MVV Energie been pursuing?

MVV Energie - Supplier of the Future - aims to be one of Germany's leading regional energy companies in ten years' time as well, with successful operations along the entire energy industry value chain.
Our growth strategy is based and dependent on efficient structures, continually optimised processes and uniform planning and controlling. In our municipal utility group, we aim to consistently exploit the enhancement and cost-saving potential available in our existing business. This way, we will secure our competitiveness and lay a foundation for further value-driven growth and sustainable dividends for our shareholders.

The MVV Energie Group sees numerous options and growth opportunities for its diversified business portfolio. Over the next ten years, we will be making around three billion euros available for investments in the future. Our aim is to acquire further market share in existing markets and to access new markets. Investments will focus on renewable energies, energy-related services, district heating, building Block 9 at the large power plant in Mannheim (GKM) and sales to industrial customers. These measures will enable us to combine our contribution towards protecting the climate and resources with a sustainable improvement in the earnings power of our group of companies.

What's the difference between the strategy used by MVV Energie AG and that of the major interregional utilities?

The major interregional utilities have divided up approximately 90% of existing generation capacity amongst themselves. Our distribution grids, on the other hand, provide us with direct access to energy consumers - access that we are expanding through our participations. Building on this advantage has allowed us to provide our customers with reliable energy service and solutions tailored to their individual energy needs. Establishing ourselves in this way as an energy distributor and value-added services provider with close ties to its customers has helped us to secure a competitive edge.

Our trading platform has also permitte us to purchase most of our electric power and, increasingly, our gas as bulk commodities at affordable prices. This, in turn, has allowed us to benefit from competition on wholesale energy markets.

Where is MVV Energie AG publicly listed?

MVV Energie AG of Mannheim has been listed on the newly restructured SDAX since March 24, 2003, making it one of the top 130 companies on the classic stock market (DAX 30, MDAX 50, SDAX 50). By meeting stringent transparency standards, MVV Energie AG was admitted to the Prime Standard on January 1, 2003.

Future plans also include paying shareholders an attractive dividend based on the MVV Energie Group's earnings. Generally speaking, both MVV's ability to distribute dividends as well as the size of the dividends themselves are dependent both on actual earnings and on such factors as its overall financial situation, liquidity requirements, prospects for the future, taxes and other economic considerations. Decisions regarding the way net profits are to be used are made at the General Shareholders' Meeting.

What accounting standards does MVV Energie AG follow when preparing financial statements?

Since being listed on the stock exchange in 1999, MVV Energie AG has been preparing its financial statements in accordance with IFRS guidelines (International Financial Reporting Standards).

What are the differences between accounting standards in accordance with IFRS and the German Commercial Code (HGB)?

When preparing financial statements in accordance with the German Commercial Code (HGB), the emphasis is on rendering an accounting by the executive board (=information function) and establishing distributable profits in keeping with the precautionary principle. IFRS, on the other hand, emphasises fair presentation of information for investors.


FAQ on our General Shareholders` Meeting

What do I have to do as a shareholder if I want to take part in the General Shareholders' Meeting?

The invitation to the Annual General Meeting of the company will be forwarded to you. You will receive a registration form together with the invitation. This enables you to request an entrance ticket for you or for your representative or to commission your bank or the voting proxy appointed by the company to exercise your voting rights on your behalf. The invitation to the Annual General Meeting is published in the electronic Federal Official Gazette. It can also be downloaded from the internet from the time of such publication onwards.

What percentage of share capital is represented at the General Shareholders' Meeting?

Around 1.200 shareholders took part in the General Shareholders' Meeting 2012, representing a total of 89.6 % of MVV Energie AG's share capital.

As a shareholder may I have another party represent me at the General Shareholders' Meeting, and may I give this party instructions and grant him or her power of attorney prior to the meeting?

If as a shareholder you do not wish or are not able to participate in the Annual General Meeting in person, then you have the possibility of exercising your voting rights by way of postal ballot or issuing a power of attorney and corresponding instructions. You can issue such power of attorney and instructions to the voting proxies appointed by MVV Energie AG using the registration form enclosed with the invitation. The proxies are strictly obliged to act in accordance with your instructions. In order to commission the voting proxies, however, the power of attorney must have been received by the company until a definite time. The registration form nevertheless also enables you to commission a third party or a shareholders' association to represent you at the Annual General Meeting.

Will video or audio recordings or a complete set of written minutes be prepared of the General Shareholders' Meeting?

No; no comprehensive, video or audio recording or complete, publicly available set of minutes will be prepared of the General Shareholders' Meeting. You will, however, have the option of downloading the speech given by the chairman of the Executive Board, the presentation slides accompanying this speech, and the voting summary.

Is it possible to follow the proceedings of the General Shareholders' Meeting via Internet or teleconference?

MVV Energie AG provides you with the opportunity of following the speech of the CEO on the internet.
